Our work typically falls into one of the following six categories:

I.  Communities

We are city attorney for Branson West and Clever, which are two fourth-class cities facing the challenges presented by population and business growth. We prepare ordinances and provide advice concerning elections, annexation, planning and zoning, building codes, disclosures of public records, bond issues, elections, acquisitions and dispositions of assets, and employment issues, and provide litigation representation and coordination with insurance counsel. We also act as prosecuting attorney for Branson West and Clever.

Several of our attorneys are members of the Missouri Municipal League, and Harry Styron is a member of the Local Government sections of the American Bar Association and Missouri Bar Association.

We also represent a variety of associations of homeowners and condominium unit owners associations. For these clients, our services include assistance with interpreting governing documents, budgeting, elections, preparation of amendments to governing documents, covenant enforcement, litigation, collections and transition from developer control.

II.  Land Development and Construction

Several of our clients are developers of residential subdivisions, condominiums (whole-ownership and timeshare), resorts, planned communities and shopping centers. We are experienced in working closely with lenders, surveyors, land planners, architects, engineers and sales and marketing people. We prepare declarations of covenants and restrictions, sales and leasing documents, disclosure documents, association governing documents, and agreements relating to the use of amenities and shared facilities. In addition, our real estate clients typically call on us to assist with review of land surveys, analysis of title reports, planning and zoning applications, obtaining approval of subdivision plats, preparation of restrictive covenants, and obtaining permits from governmental entities, such as the Missouri Departments of Transportation and Natural Resources. We sometimes prepare or review construction contracts and often assist with analysis of environmental issues.

We represent several general contractors active in Greene, Christian, Stone and Taney counties of Missouri. We have developed a package of short contract forms that residential and commercial builders have found helpful in clarifying relationships with owners and subcontractors.

III.  Transactions

We provide legal advice to businesses and individuals who are buying, selling, leasing or lending on residential and commercial real estate and businesses. Several real estate brokers, title companies, and surveyors recommend us to their clients as problem solvers. Because we are transaction-oriented, we are accustomed to providing quick service in the preparation and review of purchase contracts, deeds of trust, well agreements, easements, road agreements, and other documents needed to help a deal to close on time. We have recently represented buyers and sellers of several substantial businesses, including resorts, a convenience store chain, RV parks, and a mini-storage facility.

IV.  Litigation

Litigation is a growing aspect of our practice. We are experienced in clearing land titles and resolving real estate disputes. We also represent landlords and tenants and lenders and borrowers, primarily with regard to commercial properties. We have worked on many troubled bond issues, representing bond trustees, lenders, and property owners, involving private-purpose bonds and neighborhood improvement districts and other special assessment districts. We have handled several cases questioning the manner in which county governments have exercised authority over private land use.

In addition, we have experience with commercial litigation and product liability claims in federal and state courts. We also handle appeals.

V.  Business Law

This category includes business planning for clients in real estate and other businesses. For business planning, we prefer to work as part of team, with insurance advisors, lenders, and CPAs, creating the proper form of business organization for each venture. We prepare contracts of various types, including employment agreements, non-compete agreements, warranties, sales materials, etc.

VI.  Estate Planning and Probate

As our business clients have developed confidence in us, they have asked us to assist them with planning for their estates. In other instances, we take estates through the process of probate court. Our approach to estate planning is based on practicality, tailoring plans to the needs and desires of our clients.
